ARTICLE I - NAME

    Section 1

    The name of the Club shall be Corvettes of Augusta, Incorporated.

ARTICLE II - PURPOSE

    Section 1

    The general purpose of the Club shall be to encourage and plan trips, events and social activities for the members of the Corvette club and to provide and regulate events and exhibitions for Corvette owners.

ARTICLE III - MEMBERSHIP

    Section 1

    Membership in the club shall be open to Corvette owners only. Members must be at least 18 years of age.

    Section 2

    Prospective members must attend a normal business meeting and be voted on for membership. A membership application must be completed and submitted before a vote is held. The vote may be held at the first meeting attended or a subsequent meeting as desired by the applicant. (A majority of the members present will be sufficient to approve membership.) After attending three (3) meetings, prospective members must join or discontinue attending meetings or participating in Club activities. If the application is approved, dues must be paid within thirty (30)days. If dues are not paid within thirty (30) days, the prospective member must be revote into the club before being allowed to join. No Club jackets, patches, shirts, or other items with the Club insignia may be purchased until after membership is approved and dues are paid. Once membership is approved and dues are paid, new members will be required to purchase one (1) red shirt (style of their choice) to be worn at selected Club functions/activities, and a Club name tag.

    Section 3

    The membership year shall be from October to October. All annual dues shall be paid the Club Secretary/Treasurer by the 15th of November of each year. Any member not paying their dues by that date, and wishing to join the National Council of Corvette Clubs (NCCC) will be required to pay a 25% penalty. If the member does not wish to join the NCCC, the late penalty shall be 10%.

    Section 4

    Any member, who sells his/her Corvette and does not make arrangements to buy another Corvette within ninety (90) days, may be put up before the Club for a vote to determine whether he/she will be allowed to remain in the Club. A vote must be held as requested by one member in good standing, a 2/3 rd’s majority of the members present at the meeting is required to discontinue membership. (If approved, prorated dues will be refunded.)

ARTICLE IV - MEETINGS

    Section 1

    There shall be one or more business meetings per month as determined by a 2/3rds majority vote of the members. Special meetings may be called by any of the officers as needed. Any individual meeting date may be changed by a majority vote. All members must be notified of all meetings.

    Section 2

    Club meetings will operate under the rules of Parliamentary Procedures. Each member shall be entitled to one (1) vote and each 2 person membership (as defined in Article III, Section 2) shall be entitled to 1 vote per person. Only members in attendance at a meeting are eligible to vote.

ARTICLE V - OFFICERS

    Section 1

    The elective officers of the Club shall be President, Vice President, Secretary/Treasurer, and NCCC Governor.

    Section 2

    The officers shall act as the executive agents of the organization; however, the actions of the Officers will be determined by a majority decision of the voting membership.

    Section 3

    The President shall have been a member of the Club for one (1) year before assuming office. All members in good standing are eligible to hold this office.

    Section 4

    The offices of Vice President and NCCC Governor may be combined when necessary as determined by a majority decision of the voting membership.

ARTICLE VI - DUTIES OF OFFICERS

    Section 1 - President

    The President shall preside at all meetings of the club; appoint such committees as necessary to carry out the activities of the Club; issue the call for regular elections and special meetings; insure that regular elections are held in accordance with the Club’s By-Laws. The President may appoint officers or chairpersons other than those listed in Article V, Section 1, as necessary for the Club. These may be Club Historian, Special Events Chairman, Entertainment Committee Chairman, and Monthly Meeting Activities Chairman. The President shall insure that all club events are planned and continued each club year in a timely manner.

    The President shall be able to expend up to and not exceeding $200.00, when he/she deems it to be in benefit to the club (i.e. publications, etc.). The President shall report these expenditures at the next regularly scheduled Club meeting.

    Section 2 - Vice President

    The Vice President shall perform the duties of the President in his absence, and will carry out duties as assigned by the President. The Vice President shall be responsible for scheduling the location and/or activities for the normal monthly club meeting. This information should be given to the member responsible for preparing the club newspaper by the 10th of each month. The Vice President shall also be responsible for the scheduling of all club functions such as the annual BBQ and Christmas Party. The Vice President at his/her discretion may establish a committee to assist in these functions. If a committee is established to assist the Vice President, said committee should meet or have contact with each other at least once a month (more if necessary).

    Section 3 - Governor

    The Governor shall be responsible for insuring that all NCCC dues are paid IAW with NCCC requirements and shall be represent the Club at NCCC meetings as needed and distribute NCCC information to all club members as he deems necessary. The Governor shall be responsible for making contact with all potential new members, to include the mailing to them of a club welcome letter and membership form. The Governor may at his/her discretion, waive membership dues for up to 3 months for new members. In the absence of the President or Vice President, the Governor shall chair club meetings and functions.

    Section 3 - Secretary/Treasurer

    The Secretary/Treasurer shall be responsible for maintaining the Club checking account and shall present a monthly balance statement at each monthly Club meeting; maintain a Monthly Meeting Minutes record that shall be read at the next meeting.

ARTICLE VII - ELECTIONS

    Elections for the office of Club President and Vice President shall the held on alternating years, with the term of office being two (2) years. Elections for the office of NCCC Governor and Secretary/Treasurer shall be held every year with the term of office being one (1) year, respectively. The Club elections shall be held in October of each year. All club members present shall be eligible to vote in accordance with Article IV, Section 2. No absentee ballots will be allowed. Newly elected officers shall have a transition period of two months, and will assume office at the annual Club Christmas Party or the December meeting, whichever occurs first. Outgoing Club officers shall insure that all Club information is transferred to the incoming Club officers.

ARTICLE VIII - PERSONAL LIABILITY

    Section 1

    All persons or corporations extending credit to, contracting with, or having any claim against the Club or its officers, shall look only to the funds and property of the Club for payment of any such contract or claim or for payment of any debt, damage judgment, or decree, or any other money that may otherwise become due or payable to them from the corporation or officers, so that neither the members of the Club, the officers, present or future, shall be liable personally therefore.

ARTICLE IX - AMENDMENTS

    Section 1

    These By-Laws may be amended at any regular of special meeting of the membership by 2/3 rd’s vote of the members present in good standing. Sufficient notification must be made to all members of a meeting not held on the regular date.

    I hereby certify that the above By-Laws have been voted on and were passed by a 2/3rd’s majority of the membership present and are heretofore in full force and effect as revised the 27th day of October 2000.

These By-Laws supersede the By-Laws approved May 27, 1995.
